LifeHealth (hereinafter referred to as the “Platform”) is a digital platform created by CTI Africa LLC (hereinafter, along with is affiliates and subsidiaries, including CTI Africa Limited, referred to as “LifeHealth”) for creating electronic health records (EHRs), providing educational medical information, and connecting patients with competent healthcare service providers, while maintaining high standards at all times. The Platform enables users to remotely connect to a variety of health-related services that include general and specialist consultations, prescriptions for medications and delivery, home/office pickup and delivery services, vaccination services, home/office doctor visits, and artificial intelligence diagnostic tools, among others. These terms and conditions form a legal agreement between LifeHealth and you, the client (hereinafter referred to using ‘you’ and ‘your’ concurrently) concerning your access to and use of the various services offered through the Platform. Accessing or using the services provided by the Life Health Wallet app and other platforms constitutes your acceptance of these terms and conditions and the company privacy policy (hereinafter referred to as the “Terms and Conditions”). Supplemental terms and conditions or documents that may be posted on the website or any other company platform from time to time are hereby expressly incorporated into these terms by reference.

BY USING THE PLATFOM YOU ACCEPT AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ABIDE BY THE TERMS AND CONDITIONS, OR TO THE MODIFICATIONS THAT THE COMPANY MAY MAKE TO THIS TERMS AND CONDITIONS IN THE FUTURE, DO NOT USE OR ACCESS OR CONTINUE TO USE OR ACCESS THE PLATFORM.

You also agree that LifeHealth may (1) call and text you regarding telemedicine services, (2)
monitor and record any calls made or received for business purposes including for quality
assurance purposes.

  1. MODIFICATIONS TO THESE TERMS AND CONDITIONS
    LifeHealth may in its sole discretion, without prior notice to you, revise these Terms and Conditions at any time. Should these Terms and Conditions change materially, LifeHealth will update the Effective Date noted above and post a notice regarding the updated Terms and Conditions on the Platform. The amended Terms and Conditions will also appear when the Platform are accessed by you and you will be prompted to acknowledge your agreement to the amended Terms and Conditions before being able to continue to use the Platform. If you do not agree to the terms of the amended Terms and Conditions, your sole and exclusive remedy is to discontinue your use of the Platform and you will be deemed to have terminated these Terms and Conditions. Amended Terms and
    Conditions will be effective as of the Effective Date unless otherwise stated. By accessing or using the app after such changes are posted you agree and consent to all such changes.
  2. GENERAL PROVISIONS REGARDING USE AND AGE REQUIREMENT
    2.1. By using LifeHealth, you represent, acknowledge, and agree that you are at least 18 years of age, or if you are under 18 years of age but are at least 12 years old (minor), that you are using the app with the consent of your parent or legal guardian and that you have received your parent’s or legal guardian’s permission to use the platform and agree to its Terms.
    2.2. If you are a parent or legal guardian of a Minor, you hereby agree to bind the Minor to these Terms and Conditions and to fully indemnify and hold harmless LifeHealth if the Minor breaches any of these Terms and Conditions. If you are below 12 years old, you may not use the Platform at any time or in any manner or submit any information to LifeHealth.
  3. SERVICES
    3.1. LifeHealth is a digital healthcare ecosystem that offers solutions to patients and healthcare services providers alike. Our services are provided through our LifeHealth mobile applications and web portals, which provide Telehealth solutions that allow participating medical professionals, labs, pharmacies and health care staff
    (‘Healthcare Service Providers’) to communicate with their clients and patients (‘Patients’) to provide health care services online and perform follow up with the various post-care alternatives (‘the Services’).
    3.2. All patient information in the Platform is only as accurate as the information provided by you and your Healthcare Service Provider. All information on the platform is for education purposes only, to help assist you and your Healthcare Service Provider in making the best medical decisions. Similar, any diagnostic information provided to you by the Platfrom regarding your health, laboratory results, medications, and anything else is also intended for educational purposes only. We strongly advise that you do not make any medical decisions without first consulting a qualified Healthcare Service Provider.
    3.3. LifeHealth does not take responsibility for the diagnoses, prescriptions, or recommendations of any Healthcare Services Provider. The Services are merely intended to conveniently connect patients with Healthcare Service Providers using digital innovations and solutions.
    3.4. LifeHealth is not a Medical Service Provider, a health insurance company, or
    licensed to sell health insurance.
    3.5Use of our services is not appropriate for emergencies. if you think you have a medical or mental health emergency, or if at any time you are concerned about your care or treatment, go to the nearest open clinic or emergency room.
  4. PATIENT RESPONSIBILITIES
    4.1 If you are a patient on the Platform, then you acknowledge and agree to following.
    I. You are using the Services at your own risk. While LifeHealth with endeavor to provide the best quality information and access to top quality medical care, we take no responsibility. All information is for education purposes only. All diagnoses, prescriptions, and recommendation from Health Service Providers are their own, and not that of LifeHealth.
    II. You accept your legalrelationship is with any Health Service Provider that you are connected to on the Platform and not with LifeHealth. While LifeHealth will use its best efforts to ensure that only properly licensed Health Service Providers that are in good standing are on the Platform, we do not make any such representations. It is your responsibility to independently verify the reputation, good standings, and licensing of any Health Service Provider you engage with.
    III. You agree to not hold LifeHealth liable for any malpractice or sub-standard treatment.
    IV. Please remember that you have the right to consent or refuse consent to any
    proposed treatment, test, or therapeutic course and you should discuss any
    questions or concerns directly with the medical professional.
  5. HEALTH SERVICE PROVIDER RESPONSIBILITIES
    5.1 If you are a Health Service Provider on the Platfrom, then you acknowledge and agree to the following.
    I. You accept responsibility for any Patients you advise, diagnose, examine, or
    treat on the Platform.
    II. All information provided to you on the Platform is for education purposes only, and not intended to make a diagnosis.
    III. You accept that your Patients’ relationship is with you, and not with LifeHealth.
    IV. You are solely responsible for for the quality of your Services.
    V. You have all the appropriate licenses and certifications required to provide the Services.
    VI. You are responsible for obtaining any malpractice insurance or other insurance as may be required for the Services
    VII. You agree to not hold LifeHealth responsible for any malpractice or substandard treatment.
  6. PATIENT PERSONAL DATA PROTECTION AND THE RIGHT TO PRIVACY
    6.1 At times, including upon registration, you will be required or prompted to provide certain personal data including biographical and demographic information such as; name, telephone contact, email address, blood type, next of kin information, date of birth, gender, National Identity Number (NIN) and location. You will also be
    requested to create a password for the account.
    6.2 You are solely responsible for the security of your username and password, and any use of the Services using your username and password.
    6.3 You should not share your username or password with any third party or allow any third party to access the Services using your username and password. You may notify us if you have any reason to believe that your username or password has been lost, compromised, or misused in any way. We reserve the right to revoke or
    deactivate your username and password at any time.
    6.4 The patient shall provide a variety of sensitive personal information for example information on previous allergies, history of some diseases, blood pressure indexes to help during future prescriptions and is therefore included in the patient’s medical record. The information provided must be true, correct, up-to-date, and complete
    information to the best of your knowledge.If you provide information that is untrue, inaccurate, not current or incomplete, or the Company has reasonable grounds to suspect that the information you have provided is untrue, inaccurate, not current or incomplete, the Company reserves the right to suspect or terminate your account and refuse all current or future use of the Platform.
    6.5 LifeHealth confirms that all personal data including sensitive personal data that it collects on you and is stored in the Platform, is kept strictly confidential and will not be sold, reused, loaned, or otherwise disclosed unless indicated when collected, in the case that you have given your explicit written consent, or as otherwise mandated
    by law.
    6.6 You will also have the right to apply to see or have a copy of your medical records and all other data the Company holds on you, at any time. This right exists together with that to request rectification (if any), destruction, deletion, or alteration of the personal data held by the company.
    6.7 As LifeHealth is a electronic health record platform(EHR-P), you will be able to access
    your records on the Platform and share information with any Health Service Provider
    on the Platform that you choose.
  7. GENERAL USER REPRESENTATIONS
    By using LifeHealth , you represent and warrant that:
    7.1 You are the person registering and not presenting yourself as someone else or acting
    as an Agent or, on behalf of somebody else.
    7.2 You will only register once with LifeHealth unless you are registering for a
    dependent or a person in your care.
    7.3 All registration information you submit is truthful and accurate.
    7.4 You will maintain the accuracy of such information and promptly update the same
    to keep it true, accurate, current, and complete.
    7.5 You will keep your password confidential and will be responsible for all use of your
    password and account.
    7.6 You are not a minor in the jurisdiction in which you reside, or if a minor, you have
    received parental permission to use this website and the Company services; and
    7.7 Your use of the mobile application does not violate any applicable law or regulations.
  8. INTELLECTUAL PROPERTY RIGHTS AND CONTENT
    CTI Africa LLC is the sole and exclusive owner of LifeHealth, including all copyright, patent, trademark, trade secret, and other ownership and intellectual property rights, in and to the Mobile Applications and any related materials and documentation. No title or ownership of the mobile application, web portals and any Platforms or any portion thereof is transferred to you hereunder. LifeHealth reserves all rights not expressly granted hereunder. You agree not to change or delete any copyright or proprietary notice related
    to materials downloaded from the Websites and/or Platforms.
  9. INDEMNIFICATION AND LIMITATION OF LIABILITY
    8.1. You agree to defend, indemnify and hold Life Health Wallet, its officers, directors, employees, shareholders, affiliates, third-party contractors, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, losses, liabilities, damages, costs, expenses, and settlements (including without limitation
    reasonable attorney and accounting fees), resulting from or alleged to result from, directly or indirectly, your (a) violation of these Terms and Conditions; and (b) access to or use of the Mobile Application;
  10. MISCELLANEOUS
    9.1. This Agreement constitutes the entire agreement between you and LifeHealth regarding the use of the Platform. Failure on the part of the LifeHealth to exercise or enforce any of the provisions of this Terms and Conditions shall not operate as a waiver of such right or provision. This Terms and Conditions and your Account
    may not be assigned by you without the LifeHealth’s express written permission. LifeHealth may assign any or all of its rights and obligations to others at any time.9.2. If any provision or part of this Terms and Conditions is unlawful, void, or unenforceable, that provision or part of the Terms and Conditions is deemed
    severable from this Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.
    9.3. There is no joint venture, partnership, employment, or agency relationship created
    between you and LifeHealth as a result of this Terms and Conditions or use of the
    Platfrom.
    9.4. This Terms and Conditions shall be deemed for all purposes are to be ‘in writing’
    and therefore complying with all statutory, contractual, and other legal
    requirements for writing, and this therefore legally enforceable. You hereby waive
    all defenses based on the electronic form of this Terms and Conditions and the lack
    of physical signing by the parties hereto to execute this Terms and Conditions
  11. IN NO EVENT SHALL LIFE HEALTH WALLET BE LIABLE FOR ANY DIRECT,
    INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY, OR
    CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER
    RESULTING FROM ANY LOSS OF USE, LOSS OF PROFITS, LITIGATION, OR
    ANY OTHER PECUNIARY LOSS, WHETHER BASED ON BREACH OF
    CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR
    OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE
    MOBILE APPLICATION OR THE PROVISION OF OR FAILURE TO MAKE
    AVAILABLE ANY SUCH PRODUCTS, GOODS, OR SERVICES, EVEN IF
    ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    8.2. Life Health Wallet is not responsible for any loss or damage caused by the
    Healthcare Providers (except to the extent the Healthcare Provider is an employee
    of Life Health Wallet or acting within the scope of their employment), or Third
    Parties unless caused by the negligence, material breach or willful default of Life
    Health.
    8.3. To the full extent permissible by law, LifeHealth accepts no liability to any user for
    any loss or damage, whether foreseeable or otherwise, in contract, tort (including
    negligence), for breach of statutory duty, or otherwise, arising out of or in
    connection with the use of (or inability to use) the Platform or the use of or reliance
    upon any Content included on the mobile application and web portals.
    8.4. Life Health Wallet shall not be liable for any failure to perform its obligations
    hereunder where the failure results from any cause beyond LifeHealth’s
    reasonable control, including, without limitation, mechanical, electronic, or
    communications failure or degradation
